Terms of Service.
These plain-language terms explain how the FORMED platform works, how we’re paid, and where responsibility sits. They’re written to be readable, not to hide anything.
1. What FORMED is
FORMED is a discovery, matching, and coordination platform. We help brands, sponsors, properties, and partners find each other, evaluate fit, negotiate, and run a partnership in a shared workspace.
FORMED is not a party to the deals you make. We are not an agent, broker of funds, escrow, guarantor, or insurer for any partnership formed on the platform.
2. What FORMED is not responsible for
FORMED is not responsible for money exchanged between members, for deliverables promised or missed, for the accuracy of anything a member tells you, or for any loss, fraud, dispute, or partnership that goes wrong.
You transact with other members at your own risk. You are responsible for your own due diligence, contracts, payments, and outcomes. To the maximum extent permitted by law, FORMED's total liability to you is limited to the fees you paid FORMED in the 12 months before the claim.
The platform is provided "as is," without warranties of any kind.
3. Introduction fee (how FORMED is paid)
When a partnership is formed through FORMED — meaning parties were introduced, matched, or connected on the platform — FORMED earns an introduction fee of 20% of the deal value.
That fee applies to the first deal and to follow-on deals between the same parties for 48 months from the date the partnership was first formed, whether or not later deals happen on the platform.
You acknowledge this fee each time you begin a new partner conversation, and the deal value is recorded in the partnership workspace.
4. Non-circumvention
You agree not to arrange or route a partnership off-platform for the purpose of avoiding FORMED's introduction fee, and not to encourage others in your organization to do so.
This applies to you and to people acting on your organization's behalf. If the fee is circumvented, FORMED may pursue the amount that would have been owed, plus reasonable costs of collection.
Nothing here prevents you from working with anyone; it only preserves the fee on relationships FORMED originated.
5. Your conduct
Give accurate information about yourself and your organization. Don't misrepresent budgets, identity, or authority to make a deal.
Keep other members' private information — budgets, contacts, plans shared in a workspace — confidential and use it only for the partnership at hand.
Access is by application. We may review, verify, suspend, or remove accounts to keep the network credible.
6. Consent and recording
Messages and decisions inside a partnership workspace are logged for both parties' protection.
Optional call-intelligence features (summarizing video calls) only operate when every participant has explicitly consented, and can be turned off.
7. Disputes
Most disagreements between members are between those members. FORMED may, but is not obligated to, help coordinate.
Disputes with FORMED are resolved by binding individual arbitration and are governed by the laws of FORMED's home jurisdiction, except where local law gives you rights that can't be waived. You and FORMED waive class actions to the extent permitted.
8. Changes
We may update these terms. If we make a material change, we'll give notice through the platform. Continuing to use FORMED after that means you accept the update.
